Terms of Use
1. About MiDESQ
MiDESQ is a trade operations software platform operated by Job Done Holdings Ltd, a company incorporated in England and Wales (Company No. 17330372), with its registered office at 128 City Road, London, EC1V 2NX. The platform is accessed at midesq.net and enables trades businesses to generate quotes, invoices, schedules, parts orders and customer communications.
These Terms of Use govern the use of MiDESQ by trades businesses and their customers. By using the platform or receiving a quote or invoice generated through it, you agree to these terms.
2. MiDESQ is a Technology Platform — Not a Contractor
MiDESQ provides software tools only. Job Done Holdings Ltd is not a tradesman, contractor, or service provider and is not a party to any agreement between a trades business and its customers.
All quotes, invoices, schedules and communications generated through MiDESQ are produced on behalf of the registered trades business named in that document. The trades business is solely responsible for:
- The accuracy of all information entered into the platform
- The quality, safety and completion of any works quoted or invoiced
- Compliance with all applicable trade regulations, licensing and insurance requirements
- Any contractual obligations to their customers
Job Done Holdings Ltd accepts no liability for works carried out, quotes issued, or invoices raised by trades businesses using the MiDESQ platform.
3. Subscriber Terms (Trades Businesses)
Trades businesses subscribing to MiDESQ agree to the following:
3.1 Account Responsibility
You are responsible for maintaining the security of your account credentials and for all activity carried out under your account. You must notify MiDESQ immediately of any unauthorised access.
3.2 Accurate Information
You must ensure all business details, pricing, labour rates, VAT registration information and job descriptions entered into the platform are accurate. MiDESQ generates documents based solely on the information you provide.
3.3 Subscription and Payment
Subscriptions are billed monthly in advance. Fees are set out at midesq.com/pricing. Where payment processing is enabled through Stripe, a platform commission of 0.5%–0.75% (depending on your plan) is deducted from each transaction processed. Stripe's own fees apply separately.
3.4 Cancellation
You may cancel your subscription at any time. Cancellation takes effect at the end of the current billing period. No refunds are issued for unused portions of a billing period.
3.5 Acceptable Use
You must not use MiDESQ to generate fraudulent quotes or invoices, misrepresent your qualifications or certifications, or process payments for works not carried out.
4. Payments
Where payment processing is enabled, payments are processed by Stripe via Stripe Connect. Job Done Holdings Ltd acts as the platform operator and is not the merchant of record for customer payments. Stripe's terms and privacy policy apply to all payment transactions. By enabling payment processing on MiDESQ, you agree to Stripe's Connected Account Agreement.
Customers paying via a MiDESQ-generated invoice are transacting with the named tradesman, not with Job Done Holdings Ltd.
5. Intellectual Property
All software, technology, branding and content comprising the MiDESQ platform is the intellectual property of Job Done Holdings Ltd. You may not copy, reproduce or reverse-engineer any part of the platform. Documents generated through MiDESQ on your behalf (quotes, invoices) belong to you.
6. Limitation of Liability
To the maximum extent permitted by law, Job Done Holdings Ltd shall not be liable for any loss of profit, loss of business, indirect or consequential loss arising from use of the MiDESQ platform. Our total liability to any subscriber shall not exceed the subscription fees paid in the preceding three months.
7. Changes to These Terms
We may update these terms from time to time. Subscribers will be notified of material changes by email. Continued use of the platform after notification constitutes acceptance of the updated terms.
8. Governing Law
These terms are governed by the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.
